Ohio statutory agent changes, step by step

Moving to a new statutory agent in Ohio: the $25 filing, the form name and the details that trip people up.

Updated October 29, 2026 · Changing the statutory agent

Summary

The change is made by filing the Statutory Agent Update (Form 521); the Ohio Secretary of State charges $25[2].

To have it done for you, Mainstay Filing files the change when you move your agent service to it ($149 a year, state fee at cost)[1].

Updated October 29, 2026. Fees from official sources.

What to do

  1. Choose the new statutory agent and get its consent; it has to qualify under Ohio Rev. Code § 1706.09.
  2. File the Statutory Agent Update (Form 521) with the Ohio Secretary of State.
  3. Include the $25 filing fee.
  4. Check the Ohio Secretary of State business search to confirm the change shows on the record.

Check the new agent's address against the state's rules before filing; a rejected filing leaves the old agent on record.

Situations that call for a new agent

  • The agent's address changed
  • The company hired a service after serving itself
  • A lower published price
  • Bundling with other filings

For an owner switching on price, Mainstay Filing's flat $149 a year is one option, with the change filed for you[1]. Other published Ohio renewals: $89 to $596 (October 20, 2026).

Choosing the replacement

The same eligibility rule applies to a replacement as to a first agent. Any Ohio statutory agent. Under Ohio Rev. Code § 1706.09[3], that means an Ohio resident, or a business entity with a business address in Ohio. Owners who live in Ohio qualify as individuals and can take the statutory agent role themselves.

The replacement's address matters as much as its eligibility. The address has to be the agent's home or usual place of business in Ohio. P.O. boxes and commercial mail receiving agencies are not accepted.
